Introduction


2009 NFL.com Home Team Challenge
The 2009 NFL.com Home Team Challenge (the "Challenge") lets you represent your favorite National Football League ("NFL") team in Fantasy Football! Play the role of general manager. You have 300 Units to spend on a team of eight (8) NFL players that are available in this Challenge. We'll assign each player a value (in units) that reflects his value relative to other players, and you must then put together a team where the total value of your eight (8) players does not exceed 300 Units. You will earn points based on the statistics your players generate each week. Players' values may change during the season, based on the player's performance, and new players (such as rookies) may be added to the player pool as their playing time increases. Rosters will not carry over week to week, so you will need to set a new one each week. Prizes will be awarded to the top weekly and overall (full regular season) scorers. To participate in the Challenge you must select a favorite NFL team. Some of the teams offer favorite team prizes. If you choose a team offering prizes as listed in "Favorite Team Prizes" section below, you will compete against other fans who have also selected the same favorite team and you may be eligible to win your favorite team.s team prizes, in addition to the Overall Challenge Prizes. The favorite team prizes will be awarded by comparing your score in the Challenge with the scores of other fans who have also chosen the same favorite team. If you choose a favorite team that does not offer prizes, you will compete only for the Overall Challenge Prizes. You cannot change your favorite team once you have made your selection.

The Administrator
CBS Interactive Inc. ("CBSI") will serve as the Administrator of the Challenge and will be responsible for resolving any disputes that arise regarding violations of the rules or anything else that may come up.

Cost
The Challenge is free to play for the entire regular season. THERE IS NO PURCHASE NECESSARY TO ENTER OR WIN.

Eligibility
In order to participate in the Challenge you must be: (a) a Registered User; (b) a legal resident of one (1) of the fifty (50) United States, Washington DC or Canada (excluding Quebec) (for purposes of clarity, Puerto Rico is expressly excluded); and (c) at least eighteen (18) years of age at the date of registration in the Challenge. Individual Team prizes may have eligibility restrictions. Please check Favorite Team Prizes for details.

For purposes of these Official Rules, "Registered User" means a person who has successfully completed the registration form and has obtained a User Identification ("ID") and associated password ("Password") for an NFL.com fantasy product. If you are not a Registered User you may become a Registered User and obtain an ID and a Password by completing the fantasy product registration form by going here on the NFL.com website. There is no fee or charge to you to become a Registered User.

Employees of the Challenge Entities (as defined below) and each of their parent companies, affiliates, subsidiaries, advertising, and promotion and fulfillment agencies and members of the immediate family or household of each are not eligible to play. Immediate family member is defined as parent, sibling or any person residing in the same household as an employee or consultant of the Challenge Entities.

NFL Entities is defined as the NFL, its member professional football clubs, NFL Properties LLC, NFL Ventures, L.P, NFL Ventures, Inc., NFL Productions LLC, NFL International LLC, NFL Enterprises LLC, and each of their respective subsidiaries, affiliates, shareholders, officers, directors, agents, representatives and employees.

Challenge Entities is defined as the NFL Entities, CBS Interactive Inc., and CBS Broadcasting Inc.

Challenge Period
The Challenge starts on August 11, 2009 and runs through January 3, 2010


Weekly Lineup


Setting Your Lineup
You must select a lineup each week that you want to participate. Lineups will not carry over from week to week. You will have 300 Units to spend on your players. The Administrator will select the pool of available NFL players and assign a value to each. The player pool may change week to week, as may the values of the players, depending on their recent performance.

Lineup Setting Deadline
The Challenge will run for 17 weeks, corresponding to the 2009 NFL regular season. Each week runs Tuesday to Monday. The deadline for setting your lineup each week is approximately one hour before the scheduled start of the first NFL game that week. This means 12:00 Noon ET on Sundays, except during NFL weeks 1, 10, 11, 12, 13, 14, 15 when the deadline is on Thursday, but for week 16 the deadline is on a Friday. Check the official NFL schedule for start times during those weeks. If you fail to pick a roster for a certain week, you will be awarded zero points toward your overall total.

Roster Requirements
The chart below lists roster requirements for each team. You can spend a maximum of 300 Units to select your roster of NFL players. You will not be allowed to set a lineup that is more than 300 Units or a lineup that does not meet the roster requirements. All lineup changes made after the lineup deadline will take effect for the next scoring period of the Challenge.

Note: For players who play more than one position, the Administrator will determine position eligibility. If a player is listed at one position but then plays another for the week (e.g. a running back plays wide receiver) his statistics at the new position will count for your team. If one of your selected NFL players is injured after the lineup setting deadline, or is not available for any reason, you will not be able to make a change effective for the previous week.

*** NOTES ***
  • Offensive Scoring (QB, RB, WR, TE) Scoring will be calculated according to the following example: If a QB throws for 200 yards and 2 TDs; rushes for 20 yards and 1 TD; and has 25 yards receiving, his point total for the week would be: 3 TDs = 18 points, 200 yards passing = 8 points, 20 yards rushing = 2 points, 25 yards receiving = 2 points; or 30 total points for the week. Please note that, if you have an active QB and an active WR who play for the same NFL team, and your QB throws a touchdown pass to your WR, then you are credited with two touchdowns on the play and you receive 6 points for each touchdown (12 points total). Also, players on your active roster at an offensive position cannot receive individual offensive points for your team when they are on special teams.
  • Defensive / Special Team scores (TDs, Fumble Recoveries, INTs, Safties or Sacks) Your defense/special teams is awarded points when any one of its members generates either a TD, INT, fumble recovery, safety or sack. Your defense/special teams is also awarded points for a kickoff or punt return that results in a TD. For instance, if your active defense/special teams is the Saints, and Reggie Bush returns a punt for a TD, your defense/special teams (the Saints) gets 6 points. But in that same situation, a team using Reggie Bush as an active RB would NOT be awarded 6 points for the touchdown.
  • Fumbles Lost by an active player on your roster playing offense, special teams or defense will lose 2 points if they turn the ball over to the opposing team at any time during the game. For instance, if you have Reggie Bush active at RB and he fumbles the ball away at any time while he is on the field, your team will lose 2 points. This includes a fumble lost while returning a kick, punt, interception (if your RB were playing defense) or obviously while on offense at RB.
  • Defensive Points Allowed will take into account ALL the points allowed by the team as a whole. Be aware this includes points scored against the offense (TD from an interception, safeties, etc.) and special teams (punt return for a TD) as well as those scored against the defense.
  • Defensive Touchdowns are any touchdowns scored by the defensive team. This includes fumble returns and interception returns.
  • Special Teams Touchdowns are touchdowns scored by punt returns, kickoff returns or returns of a blocked Field Goal kick or punt.
  • To calculate the Total Yards Allowed, simply add the other team's Total Rushing and Total Passing Yards gained.
  • Rounding will NOT be used when calculating points from statistics. For example 49 yards rushing will result in 4 points.
Tie Breakers
At the end of each week's NFL games the eligible participant with the most points during a weekly period (across all team affiliations) may be eligible to win the Challenge Weekly Prize and/or Weekly Team Prize (the "Weekly Prize") for the Challenge. In case there is a tie for the Weekly Prize, the team with the most points for the season thus far wins the Weekly Prize. If there is still a tie, the current week's points by position in the following order will be used to break the tie - Quarterback, Running Backs, Wide Receivers, Tight End, Kicker, Defensive Team. In the event that a tie still exists, the eligible participant that first submitted their picks will be awarded the prize.

Overall Prizes Tie Breaker
Although it isn't necessary to participate each week, it is strongly encouraged since the team with the most points over the course of the 2009 NFL regular season (across all team affiliations) wins Challenge Grand Prize and/or Team Grand Prizes (the "Grand Prize") (pending eligibility). In case there is a tie for any Grand Prize, the team that won the most Weekly Prizes is the winner (pending eligibility). If there is still a tie, yearly points by position in the same order as described above will break the tie. In the event that a tie still exists, the eligible participant that first submitted their picks will be awarded the prize.

Note: Notwithstanding anything to the contrary, in the event of a tie, in any of the different Prize categories, the tie breaker will determine the winner. The other participant(s) that were tied will automatically be entered into a new tie breaker for the next category of available prizes, if any, and so on until all prizes have been awarded.


Overall Challenge Prizes


One (1) Overall Challenge Grand Prize:
The eligible participant who accumulates the highest point total during the 2009 NFL regular season (across all team affiliations) will win the Overall Grand Prize: a trip** for two (2) to Super Bowl XLIV, February 7, 2010 in South Florida, including round trip airfare to/from a major U.S. gateway airport nearest winner's home, standard hotel accommodations for 4 days and 3 nights (based on double occupancy), ground transportation to and from the game, two (2) game tickets*** and two (2) tailgate tickets***. Approximate retail value (ARV) of the Grand Prize: $7,900.00 US Dollars (USD)

One (1) Overall Challenge First Prize
The eligible participant who accumulates the second-highest point total during the 2009 NFL regular season (across all team affiliations) will win the Overall First Prize: a trip** for two (2) to the 2010 NFL Pro Bowl, January 31, 2010 in South Florida; including round trip airfare to/from a major U.S. gateway airport nearest winner's home, standard hotel accommodations for 4 days and 3 nights (based on double occupancy), ground transportation to and from the game, two (2) game tickets*** and two (2) tailgate tickets***. (ARV of the 1st Prize: $6,200.00 USD)

Seventeen (17) Challenge Weekly Prizes (1 weekly prize each week for 17 weeks)
Each week, the eligible participant with the highest weekly score (across all team affiliations) will win an authentic NFL team helmet of their choice (based on availability). (ARV of each Weekly Prize $200.00 USD).

Please refer to the table below for details on the prizes awarded by each participating NFL team. Note that not all NFL teams are awarding favorite team prizes. You are only eligible for the prizes listed next to the name of the team you selected as your favorite team during sign-up. "Overall" refers to the prize awarded to the participant with the highest overall point total during the 2009 NFL regular season. In the event a team is offering first, second and/or third overall team prizes (in addition to the Grand Prize), the eligible participant who accumulates the second, third and fourth most points during the 2009 NFL regular season will win such team prizes. "Weekly" refers to the prize awarded to the participant with the highest point total at the conclusion of any week (a week is defined as any Tuesday through Monday period) during the 2009 NFL regular season. In the event a team is offering first, second and/or third Weekly Prizes, the eligible participant who accumulates the first, second, and/or third most points during the relevant NFL week will win such team prizes.

Each NFL Team participating in this promotion is responsible for winner eligibility, notification and fulfillment of each prize to be awarded.

Prize Restrictions:
Trips**:
Actual value of trip may vary based on point of departure and dates of travel. Certain travel restrictions may apply. If a winner resides within a 100 mile radius of host city, ground transportation may be provided in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. Prize winner and guest(s) will be required to travel together on the same itinerary and are responsible for obtaining all required travel documents to and from a foreign country (Canada) (e.g. acceptable photo ID, visa, passport) where applicable. Prize winner and guest(s) must be available to travel on dates specified by the NFL or NFL team, as applicable (i.e., if the trip is awarded by the NFL as the Overall Challenge Grand Prize, the NFL will be the responsible party, but if the trip is awarded by a team as part of a team prize, the team will be the responsible party). Travel arrangements must be made through the relevant NFL entity. The relevant NFL entity will determine the airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight except at the sole discretion of the relevant NFL entity. Tickets***
Should the game portion of any prize be canceled, postponed or in any way abbreviated, the NFL entities shall have no liability or further obligation to the winner other than to supply the prize as described, minus the game tickets. Tickets are subject to certain terms and conditions as specified by the relevant NFL entity. Seat locations will be determined by the relevant NFL entity. The NFL entities, and/or any other relevant party, reserve the right to remove or to deny entry to any winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy abuse, threaten or harass any other person at the game or at the hotel. The terms and conditions of the tickets awarded as prizes will govern in the event a game is not played due to weather, an act of God, threat or act of terrorism, civil disturbance or any other reason. Cash cannot be substituted for any ticket prize unless otherwise agreed by the prize-awarding NFL entity. Unused tickets cannot be refunded, exchanged for cash or applied towards tickets for any subsequent years. No responsibility is assumed by any NFL entity for any cancelled rescheduled, delayed or postponed game in whole or in part. Meals, gratuities and all other costs and expenses not specified herein, including taxes, if any, are the responsibility of the prize winner. Gift Certificates and Cards****:
AAA VISA Gift Card: The AAA Visa Gift Card is subject to various terms and conditions that govern the use of such gift cards. Such terms and conditions include, but are not limited to the following: (i) the card is redeemable anywhere that Visa debit cards are accepted, (ii) the card may not be redeemed for cash, (iii) there will be a fee to replace a lost or stolen card, (iv) the card will expire in May 2011, and (v) there is a monthly maintenance fee of $2.95, which is waived for the first six (6) months once the card is activated. After the first six (6) months, $2.95 will be assessed to the remaining funds on the card until there are no longer any funds remaining.

The certificate may not be redeemed for cash or applied as payment to any account. The certificate will not be replaced if lost, stolen or destroyed. The certificate will expire two (2) years after the later of (i) the date of receipt of the certificate; or (ii) the date of the last transaction made on the certificate.

General Conditions
By entering the Challenge, each participant accepts and agrees to accept and be bound by these Official Rules and by the decisions of CBSI and the NFL Entities, which shall be final and binding in all respects. Further, each participant also acknowledges and agrees to the NFL.com Terms of Use and Privacy Policy. Taxes, if any, are the sole responsibility of each of the Prize Winners. No substitution or transfer of prizes permitted except by the Challenge Entities. The Challenge Entities reserve the right to substitute a prize for one of equal or greater value in the event that an advertised prize is unavailable.

Except where prohibited by law, a Prize Winner's acceptance of a prize constitutes permission for the NFL Entities to use that Prize Winner's name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation. Prize Winners agree to Administrator's use of their names and likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.

The Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies are not responsible for lost, incomplete, inaccurate, garbled, late, delayed, undelivered or misdirected registrations, User ID.s, submissions, fantasy points, NFL player selections and submissions; theft, destruction or unauthorized access to, or alteration of, submissions or registrations; failures or malfunctions of phones, phone lines or telephone systems; interrupted or unavailable network, server or other connections; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including, but not limited to, any injury or damage to participant.s or any other person.s computer related to or resulting from participation in this Challenge; errors or ambiguity in these Official Rules, in any Challenge-related advertisements or other materials; the selection or announcement of potential winners or the distribution of prizes; the cancellation, suspension or preemption of NFL games, injuries or other unavailability of players, scoring tabulation or timing errors or other problems or errors of any kind whether mechanical, human, electronic, typographical, printing or otherwise. By entering, each participant agrees that the Challenge Entities and their parents, affiliated and subsidiary companies and advertising and promotion agencies shall have no liability and will be held harmless by participant for any claim, action, liability, loss, injury or damage (1) to participant or any other person or entity, including, without limitation, personal injury or death to participant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of any prize and any travel or travel-related activity thereto or participation in this Challenge, and (2) any and all taxes and other fees applicable to the prizes received by the Prize Winners. In the event of a dispute as to the identity based on e-mail address submitted, entry will be declared made by the Authorized Account Holder (as hereinafter defined) of the e-mail address submitted at time of entry. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any entry that is incomplete, late, or does not include a validly issued User ID will be disqualified.

In the event that the Challenge is challenged by any legal or regulatory authority, Challenge Entities reserve the right to discontinue or modify the Challenge, or to disqualify participants residing in the affected geographic areas. In such event, CBSI and the NFL Entities shall have no liability to any participants who are disqualified due to such an action.

In the event of any ambiguity(s) or error(s) in these Official Rules, the Challenge Entities reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Challenge.

Limitation of Liability and Disclaimer of Warranties
IN NO EVENT WILL THE CHALLENGE ENTITIES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE CHALLENGE, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE. Binding Arbitration
The parties, including all participants, waive all rights to trial in any action or proceeding instituted in connection with these Official Rules or the Challenge. Any controversy or claim arising out of or relating to these Official Rules and/or the Challenge shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, in the City of New York, County of New York.

Governing Law and Jurisdiction
THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Challenge, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the New York state and federal courts located in the City of New York, County of New York, and State of New York. The parties agree not to raise the defense of forum non conveniens.

Privacy
The Challenge Entities collect personal data from Registered Users when they enter the Challenge. This information becomes the property of the Challenge Entities and may be combined with other information that you have submitted to them. Personal data collected from www.NFL.com is subject to the NFL.com privacy policy located at http://www.nfl.com/help/privacy and will be handled consistent with that policy and subject to any specific privacy choices communicated to NFL.com. Personal information may also be disclosed to third parties in order to administer the Challenge and award Prizes
