Introduction
2008 NFL.com Football Playoff Challenge
Welcome to the 2008 NFL.com Football Playoff Challenge (the "Contest"), where you can experience the excitement of postseason fantasy football! As a team "owner", you will pick a team of National Football League ("NFL") players who you think will collect the most fantasy points from the Wild Card Playoff Round through the Super Bowl (as defined below). Points are based on the statistics players accumulate during the playoffs. You'll build a team of eight (8) players. You can change your selections as many times as you'd like prior to the Wild Card Playoff games. After lineups lock for the Wild Card Playoff games, you'll only have eight (8) moves to alter your roster for the remainder of the playoffs. You will only be able to select players on teams still remaining in the playoffs. Your challenge is to pick players whose teams you believe will continue playing all the way to the Super Bowl. The Contest will begin on December 11, 2008 and end on February 1, 2009 (the "Contest Period").

No Cost
The Contest is FREE to play. NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN.

The Administrator
CBS Interactive Inc. ("CBSI") will serve as the Administrator of the Contest and will be responsible for resolving any disputes that arise regarding violations of these Official Rules.

Eligibility
In order to participate in the Contest, you must be: (a) a Registered User; (b) a legal resident of one (1) of the fifty (50) United States, Washington D.C. or Canada (excluding residents of Quebec) (for purposes of clarity, Puerto Rico and all other U.S. territories and possessions are expressly excluded); and (c) at least eighteen (18) years of age as of the start date of registration in the Contest.

For purposes of these Official Rules, "Registered User" means a person who has successfully completed the registration form and has obtained a User Identification ("ID") and associated password ("Password") on an NFL.com fantasy product. If you are not a Registered User, you may become a Registered User and obtain an ID and a Password by completing the fantasy product registration form by going here on the NFL.com website. There is no fee or charge to you to become a Registered User. Limit one (1) registration per person and per email address for the entire Contest. Registrations from any person or email address in excess of the stated limitation will be void.

Employees of CBS Interactive Inc., CBS Broadcasting Inc., and the NFL Entities (as defined below) and each of their respective parent companies, affiliates, subsidiaries, advertising, and promotion and fulfillment agencies (collectively, the "Contest Entities") and members of the immediate family or household, whether or not related, of each are not eligible to play or win. "Immediate family member" is defined as parent, child, spouse, sibling and their respective spouses, regardless of where they reside, of any of the Contest Entities.

For the purpose of these Official Rules, "NFL Entities" is defined as the NFL, its member professional football clubs, NFL Properties LLC, NFL Ventures, L.P, NFL Ventures, Inc., NFL Productions LLC, NFL International LLC, NFL Enterprises LLC, and each of their respective subsidiaries, affiliates, and advertising and promotion agencies shareholders, officers, directors, agents, representatives and employees.

Registered Users can sign up any time up to the deadlines listed below by visiting the NFL.com website.

Round Lineup
Setting Your Lineup
There are four (4) NFL playoff rounds total during the Contest. Prior to the first round of the NFL playoffs (the "Wild Card Playoff Round"), you can choose a starting lineup of eight (8) NFL players. You will have 300 units (as explained below) to "spend" assembling your team. You will be able to change your lineup, without penalty, until the lineup setting deadline for the Wild Card Playoff Round (see "Lineup Setting Deadline" section below). Once your lineup locks for the Wild Card Playoff Round, you will have eight (8) lineup moves to make for the remainder of the Contest. You may use as many of the moves allotted in any round as you would like, however, you will not be able to exceed the eight (8) moves allotted for the remainder of the Contest.

Prior to the Wild Card Playoff Round, the pool of available NFL players will be selected and each player will be assigned a value (in "units") by the Administrator. You can create your team by choosing players and keeping track of the units so as not to exceed the allotted 300 units and at the same time fulfilling the roster requirements (as explained below). Players' values will not change throughout the Contest Period.

Lineup Setting Deadline
The Contest will run for the duration of the NFL playoffs. The deadline for setting your lineup each week is approximately (1) hour before the scheduled start of the first NFL game that week. This season's NFL playoff schedule is listed below.


The first day you can set a lineup is December 29, 2008. There is no deadline for signing up; however, your team will only earn points starting with the round for which you sign up. You must sign up prior to the Lineup Setting Deadline for the applicable round in order to be eligible to earn points for that round. No retroactive points will be awarded.

Roster Requirements
The chart below lists roster requirements for each team. You must select the required number of players at each position (listed below) from the available player pool. You can "spend" a maximum of 300 units to select your roster of NFL players for your team, and you will not be allowed to exceed that amount when setting your team. You also will not be allowed to set a lineup that does not meet the roster requirements. Once the lineup setting deadline passes for the applicable round, all lineup changes made after the deadline will take effect for the following round's games.


Note: For players who play more than one position, the Administrator will determine their position eligibility, in its sole discretion. If a player is listed at one position but then plays another for the applicable round (e.g. a running back plays wide receiver) his statistics at the new position will count for your team. If any of your selected NFL players are injured after the lineup setting deadline, or for any reason are not available to play, you will not be able to change them.


Scoring
Point Values
A team will accumulate points based on the statistics accumulated by the players on the team. The chart below lists the point values.




*** NOTES ***

• Offensive Scoring (QB, RB, WR, TE) Scoring will be calculated according to the following example: If a QB throws for 200 net yards, 2 TDs - rushes for 20 yards, 1 TD - and has 25 yards receiving, his point total for the round would be: 3 TDs = 18 points, 200yds Passing = 8 points, 20yds Rushing = 2 points, 25yds receiving = 2 points; or 30 total points for the round. Please note that, if you have an active QB and an active WR who play for the same NFL team, and your QB throws a touchdown pass to your WR, then you are credited with two touchdowns on the play and you receive 6 points for each touchdown (12 points total). Also, it should be noted that players on your active roster at an offensive position cannot receive individual offensive points for your team when they are on special teams.
  
• Defensive / Special Team scores (TDs, Fumble Recoveries, INTs, Safeties or Sacks) Your defense is awarded points when any one of its members generates either a TD, INT, fumble recovery, safety or sack. Your defense also is awarded points for a kickoff or punt return that results in a TD. For instance, if your active defense is the Saints, and Reggie Bush returns a punt for a TD, your defense (the Saints) gets 6 points. But in that same situation, a team using Bush as an active RB would NOT be awarded 6 points for that touchdown.
  
• Fumbles Lost by an active player on your roster playing offense, special teams or defense will lose 2 points if they turn the ball over to the opposing team at any time during the game. For instance, if you have Reggie Bush active at RB and he fumbles the ball away at any time while he is on the field your team will lose 2 points. This includes a fumble lost while returning a kick, interception or obviously while on offense at RB.
• Defensive Points Allowed take into account ALL the points allowed by the team as a whole. Be aware this includes points scored against the offense (TD from an interception, safeties, etc.) and special teams (punt return for a TD) as well as those scored against the defense.
• Defensive Touchdowns are any touchdowns scored by the defensive team. This includes fumble returns and interception returns.
• Special Teams Touchdowns are touchdowns scored by punt returns, kickoff returns or returns of a blocked Field Goal kick or punt.
• To calculate the Total Yards Allowed, simply add the other team's Total Rushing and Total Passing Yards gained.
• Rounding will NOT be used when calculating points from statistics. For example, 49 yards rushing will result in 4 points.

Prizes
Grand Prize (1):
The eligible participant who accumulates the most fantasy points during the Contest will be deemed the Grand Prize winner, subject to verification of eligibility and compliance with these Official Rules (the "Grand Prize Winner"). The Grand Prize Winner will receive a Grand Prize package for Super Bowl XLIV scheduled to take place on January 31, 2010. The Grand Prize package for Super Bowl XLIV includes: round-trip coach class air transportation for two (2) (for winner and one (1) guest) from a major gateway airport to destination (airport, carrier and itinerary (including exact dates of travel) to be determined by the NFL Entities in their sole discretion) to Miami, Florida; ground transportation to and from a Florida airport to hotel; four (4) nights accommodation in one (1) double-occupancy standard room in a Florida hotel; and two (2) game tickets to Super Bowl XLIV (the "Grand Prize"). The Approximate Retail Value of the Grand Prize is Five Thousand Dollars (US$5,000.00). All federal, state and local taxes (including income and withholding taxes) and any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the responsibility of the Grand Prize Winner and his/her guest, including, but not limited to: additional ground transportation; meals; luggage fees, airport taxes; telephone, fax or cable charges; personal services and expenses such as laundry, valet, room service; gratuities; optional tours; insurance; medical travel documents; and other incidental costs. The Grand Prize winner and his/her guest must travel together on the same itinerary. Grand Prize winner and guest must travel on the trip dates specified by the NFL Entities or prize will be forfeited and neither the Administrator nor the NFL Entities will have any further obligation to such winner.

Actual value of trip may vary based on point of departure and dates of travel. Certain travel restrictions may apply. If the Grand Prize Winner resides within a 100-mile radius of the 2010 Super Bowl XLIV host city, ground transportation may be provided in lieu of air transportation and no compensation or substitution will be provided for the difference in prize value. The Grand Prize Winner's guest must be of legal age of majority in his/her jurisdiction of residence (and at least eighteen (18) years of age), unless child or legal ward of winner. Grand Prize Winner and guest are responsible for obtaining all required travel documents prior to travel (including passports and visas (as applicable)). Travel arrangements must be made through the NFL Entities. agent. The NFL Entities reserve the right to select airline and accommodations in their sole discretion. All prize details are at the sole discretion of the NFL Entities. Any portion of the Grand Prize not accepted by the Grand Prize Winner will be forfeited and the NFL Entities will have no further obligation to such winner.

Should the game portion or experience portion of the prize be canceled, postponed or in any way abbreviated, no compensation or substitution will be provided in lieu thereof and the NFL Entities and Administrator shall have no liability or further obligation to the Grand Prize Winner other than to supply the trip as described, minus the game tickets. Seat locations will be determined by the NFL Entities, in their sole discretion. Grand Prize Winner and guest agree to comply with all stadium rules and regulations. The NFL Entities, and/or Administrator, reserve the right to remove or to deny entry to Grand Prize Winner and/or guest if either engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game. The terms and conditions of the tickets awarded as prizes will govern in the event the game is not played due to weather, an act of God, threat or act of terrorism, civil disturbance or any other reason. The NFL Entities will not replace any lost or stolen prizes. Grand Prize Winner is responsible for any loss of Grand Prize after it has been delivered. No responsibility is assumed by Released Parties (as defined below) for any cancelled, rescheduled, delayed or postponed game in whole or in part. If unused, game tickets cannot be returned, refunded or exchanged for cash value or substitute tickets.

Tie Breakers
Ties will be broken by comparing tied eligible participants' round point totals beginning with the last round of play and going backwards until the tie is broken. The participant with the higher point total for the round will be declared the potential Grand Prize Winner. In the event that there is still a tie after all round point totals are examined, total points throughout the playoffs, by position, will be used to break the tie. Total points will be examined, by position, in the following order: Quarterback, Running Backs, Wide Receivers, Tight End, Kicker, and Defensive Team. In the event that there is still a tie after comparing total points for each position throughout the playoffs, the winner will be determined by random drawing, which will take place on or about February 10, 2009 and conducted by Administrator, whose decisions are final and binding in all respects.


Legal Disclaimers
By participating in the Contest, each participant accepts and agrees to accept and be bound by these Official Rules and by the decisions of the Contest Entities, which shall be final and binding in all respects. Further, each participant also acknowledges and agrees to the NFL.com Terms of Use and Privacy Policy. No substitution, cash redemption or transfer of prize is permitted except by the Contest Entities, in their sole discretion. The Contest Entities reserve the right to substitute the prize (or portion thereof) with one of comparable or greater value, in their sole discretion.

Potential winner will be notified via telephone, mail or email and will be required to sign and return, within ten (10) days of date of issuance, an Affidavit of Eligibility (or, if a resident of Canada, a Declaration of Eligibility) and Liability/Publicity Release (unless prohibited by law). Failure to return such documents within the specified time period, noncompliance with these Official Rules, the inability to contact the potential winner within a reasonable time period, the return of the prize or prize notification or if the potential winner declines the prize for any reason, prize may be awarded to the participant with the next highest point total, as determined by the Contest Entities, in their sole discretion.

Travel Companion Liability and Publicity Release. Grand Prize Winner's guest must execute and return a Travel Companion Liability Release and a Travel Companion Publicity Release (unless prohibited) (collectively, the "Travel Companion Release Forms") prior to issuance of travel documents. If guest is child or legal ward of Winner, Winner must execute and return all required documents on behalf of such child or legal ward. Failure to return Travel Companion Release Forms in a timely manner may prevent travel companion of Grand Prize Winner from participating in the trip.

Except where prohibited by law, a prize winner's acceptance of a prize constitutes permission for the Contest Entities and their respective designees to use winner's name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media now known or hereafter devised, in perpetuity, without further compensation, notification or permission. Contest is subject to all applicable federal, state, local, and provincial laws and regulations.

The Contest Entities and their respective employees, officers, directors, agents, shareholders and representatives (collectively, the "Released Parties") are not responsible for lost, late, stolen, incomplete, garbled, undelivered or misdirected player selections or points, or registrations, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction, including network, electronic, mechanical, typographical, printing or other errors or malfunctions or for any human error, technical error or malfunctions, including, but not limited to errors that may occur in connection with the administration of the Contest, the processing of player selections, the tabulation or processing of points, the cancellation or postponement of any game, the unavailability of any player for any reason, the announcement of the Grand Prize Winner or in any other Contest-related materials. In the event that a scheduled NFL game is canceled or preempted for any reason, no points will be awarded for that round for players on the affected NFL game.

The Released Parties are not responsible for typographical or other human or technical errors in the offer or administration of this Contest, including, but not limited to, errors in advertising, these Official Rules, the selection and announcement of the Grand Prize Winner or the distribution of the Grand Prize.

The Contest Entities, in their sole discretion, may disqualify any participant from participating in the Contest, refuse to award points and/or Grand Prize, and require the return of any part of the Grand Prize, if a participant engages in any conduct the Contest Entities deem to be improper, unfair or otherwise adverse to the operation of the Contest or detrimental to other participants. Such improper conduct includes, but is not limited to, falsifying personal information required during Contest registration or Grand Prize claim, violating any term or condition stated herein, accumulating points through methods such as automated computer scripts or other programming techniques or means which subvert the participation process, allowing others to use the participant's personal information for the purpose of accumulating points, tampering with the Contest Entities' administration of this Contest, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this web site. Participant further acknowledges that the forfeiture of prize and/or return of any prize shall in no way prevent the Contest Entities from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

The Contest Entities reserve the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest. This Contest is not affiliated with or endorsed by the NFL or any NFL team. This is a skill Contest designed to increase consumer awareness of and interest in the Contest Entities' services.

This Contest may not be used for any form of gambling.

Internet
If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, the Contest Entities reserve the right, at their sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. In such event, the Contest Entities further reserve the right to award the Grand Prize to the participant with the most points as of the termination date as described in this Official Rules.

The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, player selections, points or transactions. The Released Parties are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.

Lost or Corrupted Entries
The Released Parties assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, garbled or delayed player selections, points or registrations, if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by participants, tampering, hacking, or by any of the equipment or programming associated with or utilized in this Contest, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Contest.

Damaged Property
The Released Parties assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any participant or to any other person's computer or property related to or resulting from participating in this Contest or downloading materials from the Contest web site.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE CONTEST ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS. FEES) FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity based on e-mail address entries will be declared made by the Authorized Account Holder (as hereinafter defined) of the e-mail address submitted at time of entry and he/she must comply with these Official Rules. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any entry that is incomplete, late, or does not include a validly issued ID will be disqualified.

In the event that the Contest is challenged by any legal or regulatory authority, Contest Entities reserve the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participants who are disqualified due to such an action.

Contest Errors
The Released Parties assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Contest; (b) in any related advertising or promotions of this Contest; and/or (c) in these Official Rules. In the event of any ambiguity(s) or error(s) in these Official Rules, the Contest Entities reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Contest.

Grand Prize Winner and Grand Prize
The Released Parties assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of the Grand Prize Winner, the awarding of the Grand Prize, the acceptance/possession and/or use/misuse of any part of the Grand Prize (including any travel/activity related thereto) and/or any injury or damage to any participant's or third person's property related to or resulting from any part of the Grand Prize (including any travel/activity related thereto) or any part of this Contest.

Release and Indemnity
Each participant in the Contest, including, without limitation, the Grand Prize Winner, hereby releases and agrees to hold harmless the Released Parties from any and all liability for (i) any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the Grand Prize (including any travel/activity related thereto), participation in this Contest or participation in any activity related to this Contest; and (ii) any and all federal, state and local taxes (including income and withholding taxes) and other fees applicable to the Grand Prize received by such Grand Prize winner.

Limitation of Liability and Disclaimer of Warranties
IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE WEBSITE AND/OR THE CONTEST, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE WEBSITE AND/OR THE CONTEST. IN NO EVENT SHALL THE CONTEST ENTITIES. TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE CONTEST AND THE SERVICE INCLUDING THE GRAND PRIZE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

Binding Arbitration
The participants waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, in the City of New York, County of New York.

Governing Law and Jurisdiction
THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Contest, the participants irrevocably submit and consent to the exclusive jurisdiction and venue of the New York state and federal courts located in the City of New York, County of New York, and State of New York. The participants agree not to raise the defense of forum non conveniens.

Privacy
The Contest Entities collect personal data from Registered Users when they register to participate in the Contest. This information becomes the property of the Contest Entities and may be combined with other information that you have submitted to them. Personal data collected from www.NFL.com is subject to the NFL.com privacy policy located at http://www.nfl.com/help/privacy and will be handled consistent with that policy and subject to any specific privacy choices communicated to NFL.com. Personal information may also be disclosed to third parties solely in order to administer the Contest and award the Grand Prize.
